The Tax Director, EMEA, will manage - in collaboration with the broader DNI tax team members, Discovery operations across Europe in all aspects of tax planning, consultation, design and audit (including supporting the Transfer Pricing team on functional analysis and business changes) and will oversee compliance, tax provision and reporting for businesses operating within EMEA (but often with global activity). This position reports to the SVP, Tax Planning and Development in London. Depending on commercial operations, growth or divestiture, the territories within EMEA assigned to this role may shift with changes in the business or in resources. We work as a team. This position requires a team player that is willing to fluidly share the work burdens of the international group and expand role as needed. This role sometimes operates as a Director managing others but more often as a direct participant such that day to day will be a mix of leading on design and implementation, review of a tax provision, managing an audit, or completing and filing a WHT application. Each Director will have stakeholders they are directly responsible for (for example, a 1:1 relationship with a regional CFO, or the legal team supporting Digital) but the projects require collaboration across the global tax team and EY Co Sourcing members. Effective communication and project management skills are critical to the success of this role. Discovery is a matrixed organisation, as is the global tax team. This role will require effective communication and collaboration with the SVP International Tax, the VP Global Tax Reporting and the VP of Transfer Pricing, all based in the US, as well as effective oversight, management of and coordination with the EY Co Sourcing team. This position works across various disciplines including accounting, FP&A, Treasury, Legal, Human Resources, and GBS (shared service centre). It is requisite that this role is interactive with the regional CFOs, local (regional) teams and commercial teams. Responsibilities Regular & Recurring Responsibilities : Responsible for assessing regional tax structure, identifying tax savings opportunities and mitigating risks including: Withholding tax management (including monitoring foreign withholding taxes and certificate collection for purposes of foreign tax credit support); Maximizing tax efficiency in local countries with use of appropriate transfer pricing, tax positions, indirect taxes and/or tax incentives consistent with the global priorities; Staying abreast and communicating new operations or changes in existing operations to ensure proper structure, governance and transfer pricing are in place; Managing positions associated with cross-border payments such as dividends, interest from financing structures, royalties etc. Design and implementation of tax-efficient operating models for new business lines proposed by the business and ensuring careful implementation including assisting (driving) entity set-up, assessing local tax requirements, and coordinating transfer pricing implementation; Responsible for preparing power point presentations to document and explain complex tax matters in a concise and effective manner; Contract review and escalation, as needed; and Management of day to day tax queries from GBS, Content Accounting and similar teams. Responsible for working in close collaboration with the London based Director of Tax Reporting & Compliance in managing compliance and reporting functions for operations in EMEA including Oversight of income tax filings, business review and driving due dates and deliverables by the EY Co Sourcing team; Feeding into and assisting with quarterly tax provisions, deferred taxes, tax account reconciliations, and maintenance of Master Issues List (MIL); Identifying and documentation of tax reserve needs including preparing technical memos and organized files to document tax return positions and audit support; Feeding into cash tax management and reporting/forecasting; Working with the accounting team on all tax aspects of local statutory filings and financial audits - this may require direct or indirect participation; Participate in the quarterly and year end audit by PWC and documentation required by PWC; SOx, blackline, Internal Audit and other controllership requirements; Oversight of indirect taxes in region in coordination with Sr. Director, Indirect Tax. Lead and/or support local tax audits including income tax, VAT/GST, transfer pricing, or other relevant tax inspections. Monitor and advise on legislative and regulatory changes in EMEA and the media industry; look for opportunities to shape legislation, leveraging the EY team effectively. Manage and liaise with external tax advisors including responsibility for overseeing the engagement letter, budgeting, and forecasting fees. As needed responsibilities : Support the Transfer Pricing Team on methodology, documentation, filings, and local segmentations; Support in the areas of tax structuring and/or acquisitions; Other, as discussed and assigned. Requirements Requirements Solid tax experience, media industry preferred, and broad knowledge of: EMEA tax laws and regulations, including tax compliance, provision and audit management Experience with double tax treaties, withholding tax and foreign tax credit issues Experience with and knowledge of US and OECD transfer pricing principles Cross border M&A and associated due diligence Knowledge of US accounting for income taxes (ASC740 formerly FAS 109) Knowledge of VAT and other transactional tax issues (experience preferred) Excellent oral and written communication skills Excellent tax research skills Excellent excel and PowerPoint skills Ability to interact effectively within a matrixed environment across the global tax team, members of the finance department, and corporate stakeholders Ability to clearly communicate goals and motivate internal and external constituents with confidence Ability to work in a fast-changing environment with diverse stakeholders A superior work ethic and a dedication to the highest work quality and job excellence Demonstrated ability to contribute to a culture of excellence, integrity and accountability Strong project management skills
